By accessing or using www.es.co.za (the "Website"), you agree to these Terms and Conditions ("Terms"). If you do not agree, please do not use the Website. These Terms apply to use of the Website only. The supply of ES services is governed by a separate signed agreement, which prevails over these Terms if they conflict.

2. Use of the Website
You may use the Website for lawful purposes only. You must not:
- use the Website in any way that breaches applicable law, including the Cybercrimes Act 19 of 2020;
- attempt to gain unauthorised access to the Website, its servers or any connected system, or probe, scan or test its vulnerabilities without our written permission;
- introduce malware, or launch denial-of-service or similar attacks;
- scrape, harvest or collect content or contact details by automated means without our consent; or
- impersonate any person or misrepresent your connection with any organisation.
We may restrict or suspend access to the Website, in whole or in part, at any time and without notice, including for maintenance or security reasons.
3. Information on the Website
Content on the Website, including articles, security advisories, blog posts and service descriptions, is provided for general information only. It is not professional, technical or legal advice for your specific environment, and you should not rely on it without first consulting us or another qualified adviser.
We take reasonable care to keep content accurate and up to date, but we do not guarantee that it is complete, current or error-free. Prices, specifications, product availability and service descriptions may change without notice, and any quotation is valid only once issued to you in writing.

The Website and its content, including text, graphics, logos, the ES name and brand marks, the VALOUR brand, images and software, are owned by or licensed to ES and are protected by copyright and trade mark law. You may view, download and print pages for your own non-commercial reference. You may not copy, reproduce, modify, distribute or commercially use any content without our prior written consent.
Third-party names, logos and trade marks shown on the Website, including those of our technology partners, belong to their respective owners. Their use does not imply endorsement beyond the partnerships described.
5. Links to third-party websites
The Website may contain links to vendor, partner and other third-party websites for your convenience. We do not control and are not responsible for their content, availability or privacy practices. A link does not mean we endorse that site.
6. Submissions and communications
When you contact us, request a quote or apply for a job through the Website, you confirm that the information you give is accurate and that you are entitled to share it. We handle that information in line with our Privacy Policy. An electronic message sent through the Website is regarded as received by us only once we acknowledge it, in line with section 23 of ECTA.
7. Security and availability
We use reasonable measures to keep the Website secure. However, no website or internet transmission is completely secure or free from interruption, viruses or other harmful components. You are responsible for your own device security, including up-to-date antivirus software. If you believe you have found a security vulnerability on the Website, please report it responsibly to info@es.co.za rather than exploiting or publicising it.
8. Disclaimer and limitation of liability
The Website is provided "as is" and "as available". To the fullest extent permitted by law, ES, its directors, employees and agents are not liable for any direct, indirect, special or consequential loss or damage, including loss of data, profit or business, arising from:
- your use of, or inability to use, the Website;
- reliance on any content on the Website; or
- any virus, malicious code or unauthorised access affecting your systems through the Website or linked sites.
Nothing in these Terms excludes or limits liability that cannot be excluded by law, including under the Consumer Protection Act 68 of 2008 where it applies, or liability for gross negligence or wilful misconduct.
9. Indemnity
You indemnify ES against any claim, loss or cost (including reasonable legal fees on an attorney-and-client scale) arising from your breach of these Terms or your unlawful use of the Website.
10. Changes to these Terms
We may update these Terms at any time by publishing the revised version on this page with a new "Last updated" date. Your continued use of the Website after that means you accept the revised Terms.
11. General
- Governing law and jurisdiction: These Terms are governed by the laws of the Republic of South Africa. You consent to the jurisdiction of the Gauteng Division of the High Court, Johannesburg, or of the magistrate's court having jurisdiction, at our election.
- Severability: If any provision is found invalid or unenforceable, the rest of these Terms remain in force.
- No waiver: Any leniency or delay by ES in enforcing these Terms is not a waiver of our rights.
- Entire agreement: These Terms, with our Privacy Policy, are the whole agreement between you and ES about use of the Website.
12. Commercial Terms & Conditions
- Pricing is based on the current exchange rate and is subject to ROE fluctuation.
- Should any changes occur we reserve the right to withdraw or amend this quotation. Errors and omissions are excluded.
- All prices exclude VAT unless specified.
- Unless specified, this quotation has been calculated assuming normal working hours. (Monday to Friday 08h00-17h00). Delays caused by the client, his agents or third parties will be charged at standard rates.
- Variations to the quote will only be carried out on receipt of a valid order signed by the client or his duly authorized agent.
- This quotation and the information contained within are deemed to be intellectual property of Executive Solutions are to be treated as private & confidential.
- All goods become the property of the customer on the receipt of a signed delivery note and should be insured accordingly.
